Terms and Conditions

These terms apply when you use our service.

Ghosta T&Cs

Applies to all clients of Ghosta unless a signed agreement expressly states otherwise.1. Parties & Agreement
These Terms & Conditions ("Terms") are entered into between Ghosta ("Ghosta", "we", "us") and the client named on the applicable order form, proposal, or onboarding confirmation ("Client", "you"). By engaging Ghosta's services, paying an invoice, or providing account access, the Client agrees to be bound by these Terms.
2. Scope of Services
Ghosta provides LinkedIn-led content and/or outbound services as set out in the Client's specific service agreement, order form, or proposal (the "Order"), which may include:
Content creation and scheduling (volume, frequency, and platform as specified in the Order)
LinkedIn outbound prospecting and messaging via third-party tooling
Engagement / commenting activity on the Client's behalf, where specified
Any services not explicitly listed in the Order are out of scope and may be quoted separately.3. Term & Rolling Contract
Services are provided on a rolling monthly basis, billed in advance from the service start date. There is no minimum contract term beyond the first calendar month.
Either party may terminate this agreement at any time after the first month by giving 30 days' written notice (email is sufficient). Services and billing continue for the duration of the notice period.Ghosta reserves the right to terminate an engagement immediately, without notice, in cases of non-payment beyond the grace period set out in Clause 4, abusive conduct, or a material breach of these Terms.4. Fees & Payment
Fees are as set out in the Order and are billed monthly in advance via the payment method on file. All fees are exclusive of VAT unless stated otherwise.
If a payment fails or is not received by the due date, Ghosta will notify the Client and allow a grace period of 5–7 days to resolve the issue. If payment is not received within this grace period, Ghosta reserves the right to suspend services (including pausing content publishing and outbound campaigns) until the account is brought current.Ghosta may revise its fees with at least 30 days' written notice. Continued use of the service after a fee change takes effect constitutes acceptance of the new fee.Fees paid are non-refundable for work already delivered or in progress at the point of cancellation.5. No Guarantee of Results
Ghosta will use reasonable skill, care, and its professional judgement in delivering the services. However, outcomes such as leads, meetings, pipeline, revenue, follower growth, or engagement depend on factors outside Ghosta's control — including the Client's offer, market conditions, LinkedIn's algorithm and policies, and the Client's own responsiveness to inbound interest. Ghosta does not guarantee any specific business outcome, and no such guarantee should be inferred from marketing materials, sales conversations, or case studies.
6. Platform & Account Risk
Outbound services are delivered using third-party tooling operating on the Client's own LinkedIn account, which the Client is responsible for providing (see Clause 7). LinkedIn may, at its sole discretion, restrict, flag, rate-limit, or suspend accounts engaged in outbound or automated activity, regardless of the care taken by Ghosta.
Ghosta follows commercially reasonable, industry-standard sending practices to minimise this risk, but cannot guarantee that LinkedIn will not take action against the Client's account. Ghosta is not liable for any restriction, suspension, or ban of the Client's LinkedIn account, or for any resulting loss of access, connections, or business.7. Account Access & Client Responsibilities
For outbound services, the Client must provide Ghosta with the necessary login credentials or access to their LinkedIn account. The Client is responsible for maintaining the security of their own account, including two-factor authentication settings that may affect Ghosta's ability to operate the account.
If the Client revokes, changes, or loses access to their account during the engagement, Ghosta is not responsible for any resulting service interruption, and fees remain payable for the period access was unavailable due to Client-side changes.The Client is responsible for ensuring the content and messaging approved for use complies with applicable laws and LinkedIn's own terms of service.8. Confidentiality
Each party agrees to keep confidential any non-public business, strategic, financial, or client information disclosed by the other party in the course of the engagement, and to use it solely for the purposes of the engagement. This obligation survives termination of these Terms.
9. Data Protection
Where Ghosta processes personal data on the Client's behalf (for example, prospect or contact lists used in outbound campaigns), Ghosta will process that data only in accordance with the Client's instructions and applicable UK data protection law, including the UK GDPR. Each party will maintain appropriate technical and organisational measures to protect any personal data it handles. A separate Data Processing Agreement is available on request.
10. Intellectual Property
Content created by Ghosta and published on the Client's behalf becomes the property of the Client once posted and paid for. Ghosta retains ownership of its underlying processes, tools, templates, and methodologies, and nothing in these Terms transfers ownership of Ghosta's proprietary systems to the Client.
Ghosta will not use the Client's name, logo, or specific results as a public case study, testimonial, or marketing reference without the Client's separate, explicit consent.11. Non-Solicitation
During the engagement and for 12 months after its end, the Client agrees not to directly engage, hire, or contract any Ghosta contractor or team member introduced to the Client through the course of the engagement, without Ghosta's prior written consent.
12. Limitation of Liability
To the maximum extent permitted by law, Ghosta's total liability arising out of or in connection with these Terms, whether in contract, tort, or otherwise, is limited to the total fees paid by the Client in the one (1) month immediately preceding the event giving rise to the claim.
Ghosta is not liable for any indirect, special, or consequential loss, including loss of profits, business opportunity, or goodwill.13. Force Majeure
Neither party is liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to platform outages, changes to LinkedIn's policies or infrastructure, or other events of force majeure.
14. Governing Law
These Terms are governed by the laws of England and Wales, and both parties submit to the exclusive jurisdiction of the courts of England and Wales.
15. Entire Agreement
These Terms, together with the applicable Order, constitute the entire agreement between the parties regarding the services and supersede any prior discussions, proposals, or representations, whether written or oral.
